Introduction

Welcome to Blockport. These Terms and Conditions ("Terms") govern your access to and use of blockport.xyz (and related subdomains) (the "Website") and all services, features, tools, or content provided by Managed State Pty Ltd (ABN 86 667 428 024) trading as Blockport ("Blockport," "we," "us," "our"), including our Solana validator information, RPC endpoint information, and our non-custodial staking interface (collectively, the "Services").

By accessing or using our Website or any of our Services (including connecting to or applying for transactional use of the Staking Interface), you agree to these Terms and our Privacy Policy, which is part of these Terms. If you disagree with these Terms or the Privacy Policy, do not use our Website or Services.

You must be at least 18 years old or the age of legal majority in your jurisdiction. By using our Website and Services, you confirm you meet this requirement.

1. About Blockport's Services

1.1. Blockport provides Solana blockchain infrastructure solutions. Our Services include:

  • a. Information about our Solana validator(s). As our validator(s) operate on the public Solana network, any user with a Solana wallet may delegate SOL tokens to our validator(s) directly through their own wallet software or other third-party interfaces, independently of Blockport's Staking Interface or Services.
  • b. Information on our Remote Procedure Call (RPC) endpoints (dedicated RPC access for institutional clients may have separate agreements).
  • c. A non-custodial staking interface on our Website ("Staking Interface"). Any user may connect their compatible third-party Solana wallet to this interface to view information about their existing stake accounts and potentially other historical staking performance data made available through the interface. However, the ability to use the Staking Interface to construct and initiate transactions on the Solana network (such as creating new stake accounts, delegating SOL to our validator(s) via the interface, unstaking, or withdrawing using the interface's transactional features) is available exclusively to approved Wholesale Clients (as defined in Section 2.1) whose wallets have been whitelisted by Blockport.

1.2. NO AUSTRALIAN FINANCIAL SERVICES LICENCE (AFSL):

Managed State Pty Ltd (ABN 86667428024) trading as Blockport is NOT a financial adviser and does NOT hold an Australian Financial Services Licence (AFSL) or any other financial services licence. Blockport is not authorised to provide, and does not provide, financial product advice, financial services, or financial products requiring such a licence. Blockport's Services are technological and informational.

2. Non-Custodial Staking Interface – Transactional Use for Wholesale Clients Only

2.1. Eligibility and Access for Transactional Use – Wholesale Clients:

  • a. The ability to perform transactions or execute management actions (such as creating new stake accounts, delegating, unstaking, or withdrawing) via the Staking Interface ("Transactional Use") is strictly limited to persons or entities that qualify as "Wholesale Clients" as defined under section 761G or section 761GA of the Corporations Act 2001 (Cth) ("Wholesale Client").
  • b. To gain approval for Transactional Use of the Staking Interface, you must apply to Blockport (e.g., by contacting us as directed on the Website) and be approved by us. This approval process may require you to provide information and/or attestations to satisfy Blockport that you meet the criteria for a Wholesale Client.
  • c. Blockport reserves the right, in its sole discretion, to grant or deny approval for Transactional Use of the Staking Interface (including whitelisting your wallet address(es)) to any applicant.
  • d. If your status as a Wholesale Client changes such that you no longer meet the criteria, you must immediately notify Blockport and cease all Transactional Use of the Staking Interface. You may continue to use the Staking Interface for informational viewing purposes only, subject to these Terms.

2.2. Nature of the Interface:

The Staking Interface allows any user who connects their compatible third-party Solana wallet ("Your Wallet") to view information such as their existing stake accounts and potentially other historical staking performance data.

For approved and whitelisted Wholesale Clients, the Staking Interface additionally serves as a tool to construct and initiate transactions on the Solana blockchain, allowing such approved users to:

  • a. View public information about their stake accounts associated with Your Wallet.
  • b. Construct transaction messages based on their inputs (e.g., SOL amount) for creating new stake accounts and delegating SOL to Blockport's validator(s).
  • c. Initiate these transactions by prompting Your Wallet to sign and broadcast them to the Solana network.
  • d. Deactivate and withdraw from existing stake accounts using the interface's functionalities.

2.3. NON-CUSTODIAL – YOU CONTROL YOUR ASSETS:

Blockport never takes custody or control of your SOL or other digital assets. Your assets and private keys remain under your sole control within Your Wallet. Blockport cannot access your private keys, initiate transactions without your approval via Your Wallet, or recover assets if you lose control of Your Wallet or keys.

2.4. Your Responsibility (All Users Connecting a Wallet):

  • a. You are solely responsible for securing and managing Your Wallet, keys, and passwords.
  • b. When using the Staking Interface (whether for viewing information or, if a whitelisted Wholesale Client, for Transactional Use), you interact directly with the Solana network. You must carefully review and verify all transaction details displayed in Your Wallet (amount, recipient, network fees) before you approve and sign any transaction you choose to initiate.
  • c. Blockport is not liable for your errors or omissions in any transaction. Solana transactions are typically irreversible.

3. User Responsibilities and Conduct

3.1. Accurate Information & Representation (for Transactional Use Applicants):

  • a. If you apply for Transactional Use of the Staking Interface, you agree to provide accurate, current, and complete information to Blockport, including any information required to assess your status as a Wholesale Client.
  • b. By applying for and engaging in Transactional Use of the Staking Interface, you represent and warrant to Blockport that you are, and will remain for the duration of such use, a Wholesale Client as defined under the Corporations Act 2001 (Cth). You acknowledge that Blockport relies on this representation for granting access to Transactional Use.

3.2. Wallet Security:

You are solely responsible for Your Wallet's security. Blockport strongly recommends using hardware wallets.

3.3. Transaction Verification:

You are solely responsible for verifying all transaction details before approval if you choose to initiate any transaction (whether via our Staking Interface if authorized, or through other means).

3.4. Sufficient Funds:

Ensure sufficient SOL in Your Wallet for any intended transactions and associated network fees.

3.5. Lawful Use:

Use the Website and Services lawfully and per these Terms and applicable laws.

3.6. Prohibited Conduct:

You agree not to:

  • a. Use the Website or Services for illegal or fraudulent activities.
  • b. Permit any person or entity that is not an approved Wholesale Client to engage in Transactional Use of the Staking Interface through your whitelisted wallet or access.
  • c. Damage, disable, overburden, or impair the Website or Services.
  • d. Attempt unauthorized access to systems, networks, or data.
  • e. Reverse engineer, decompile, or disassemble proprietary software or interfaces (excluding identified open-source components).
  • f. Introduce malicious code.
  • g. Use automated systems (bots, scrapers) to interact with the Website or Services without our prior written permission, beyond reasonable human usage for approved purposes.
  • h. Transmit unsolicited commercial communications (spam).
  • i. Misrepresent your affiliation or provide false information.

4. Risk Disclosures, Disclaimers, and Acknowledgements

YOUR USE OF THE WEBSITE AND SERVICES, INCLUDING CONNECTING YOUR WALLET TO THE STAKING INTERFACE (WHETHER FOR VIEWING OR TRANSACTIONAL USE), IS ENTIRELY AT YOUR OWN RISK. IF YOU ARE APPROVED FOR TRANSACTIONAL USE AS A WHOLESALE CLIENT, YOU ARE PRESUMED TO HAVE A HIGHER DEGREE OF SOPHISTICATION AND UNDERSTANDING OF FINANCIAL AND TECHNOLOGICAL RISKS. ALL USERS ACKNOWLEDGE AND AGREE THEY HAVE CAREFULLY CONSIDERED THE RISKS IN THIS SECTION AND ALL OTHER RISKS OF DIGITAL ASSETS AND BLOCKCHAIN TECHNOLOGY.

(The "NO AFSL" disclaimer is in Section 1.2).

4.1. (1) NO FINANCIAL, INVESTMENT, LEGAL, OR TAX ADVICE:

All information, content, tools, and services on the Website (blog, data, Staking Interface, communications) are for informational purposes only. They are NOT financial, investment, trading, legal, tax, or other professional advice, nor a recommendation or endorsement. Blockport is not your advisor. Conduct your own research (DYOR) and consult independent professional advisors before making decisions about digital assets.

4.2. (2) NON-CUSTODIAL NATURE (Reiteration):

Blockport provides non-custodial services. We never control your assets or private keys.

4.3. (3) USER RESPONSIBILITY (Reiteration):

You are solely responsible for: Your Wallet security; verifying transaction details; your decisions; and your tax, reporting, and legal obligations. Blockport offers no tax or transaction reporting services.

4.4. (4) INHERENT RISKS OF BLOCKCHAIN & STAKING:

You accept the inherent risks of digital assets, blockchain, and staking, including:

  • a. Volatility and Loss: Digital asset values are volatile and can result in partial or total loss. Past performance does not predict future results.
  • b. Solana Network Risks: The Solana network may suffer outages, congestion, bugs, or other issues impacting transactions or access. Blockport is not responsible for the Solana network.
  • c. Validator Performance & Slashing: Staking rewards depend on validator performance. Validators are subject to potential "slashing" penalties for misbehavior or downtime, which could cause loss of staked SOL or rewards.
  • d. Smart Contract Risks: Blockchain interactions involve smart contracts which may have vulnerabilities or bugs.
  • e. Transaction Irreversibility: Blockchain transactions are generally irreversible.
  • f. Regulatory Uncertainty: Digital asset and staking laws are evolving and vary. Legal changes could adversely affect SOL or staking.
  • g. MEV Complexity & Variability: MEV rewards depend on network conditions and protocol mechanics (e.g., Jito) and are not guaranteed.
  • h. No Guarantee of Rewards: Staking rewards are not guaranteed and depend on protocol rules, validator performance, network conditions, and MEV.

4.5. (5) ACCURACY OF INFORMATION ("AS IS" AND "AS AVAILABLE"):

The Website, Services, and content (including any information viewed via the Staking Interface) are provided "as is" and "as available" for general information. While we strive for accuracy, we make no warranties (express or implied) about completeness, reliability, or timeliness. Verify critical information independently.

4.6. (6) SERVICE AVAILABILITY & NO GUARANTEES (OPERATIONAL):

Blockport does not guarantee uninterrupted, error-free, or secure Website or Service operation. Access may be subject to downtime.

4.7. (7) THIRD-PARTY LINKS & CONTENT:

The Website may link to third-party sites or resources (e.g., Solana documentation, Jito). These are for convenience only. Blockport does not endorse and is not responsible for third-party content, services, or sites. Use them at your own risk and subject to their terms.

4.8. (8) MEV & STAKING REWARD DISTRIBUTION:

Blockport may pass through a percentage of MEV rewards earned by its validator(s) to delegators (e.g., 92%, as stated on our Website). Generation, calculation, and distribution of MEV and staking rewards depend on Solana network and third-party protocol mechanics (e.g., Jito). Blockport facilitates pass-through but does not guarantee amounts or timing.

4.9. (9) RECOMMENDATION TO USE HARDWARE WALLETS:

Blockport strongly recommends using reputable hardware wallets for enhanced security.

4.10. (10) NO PROVISION OF REPORTING BY BLOCKPORT:

You are solely responsible for your financial, tax, and transaction reporting. Blockport does not provide reporting assistance.

5. Intellectual Property

5.1. Blockport's IP:

  • a. All rights, title, and interest in the Website, its "look and feel," text, graphics (including logo, custom designs), images, software (Website code, proprietary Staking Interface aspects), and other Blockport content and materials ("Blockport IP") are owned by or licensed to Blockport and protected by IP laws.
  • b. "Blockport," "Managed State Pty Ltd," and associated logos are Blockport's trademarks. Do not use them without our prior written permission.

5.2. Open-Source Components:

The Staking Interface may use open-source software (e.g., Anza libraries). Your use is subject to their respective licenses. Blockport claims no ownership over such components.

5.3. Permitted Use by Users:

  • a. You have a limited, non-exclusive, non-transferable, revocable license to access and use the Website and Blockport IP for personal, non-commercial use (or internal business use if you are an entity qualifying as a Wholesale Client) to learn about Services.
  • b. You may view, download (for caching), and print pages for personal use (or internal business use if a Wholesale Client), per these Terms.
  • c. You may share links to public Website pages if fair, legal, not damaging to our reputation, and with proper credit to Blockport.

5.4. Prohibited Uses of IP:

You must not, without our express written consent:

  • a. Republish, redistribute, sell, rent, or sub-license Website material or Blockport IP.
  • b. Reproduce, duplicate, copy, or exploit Website material or Blockport IP for commercial purposes beyond your approved use of the Services.
  • c. Modify, adapt, or create derivative works from Blockport IP.
  • d. Use Blockport IP misleadingly or to suggest an unapproved association.

5.5. License to Use Staking Interface:

Blockport grants any user who connects their wallet to the Staking Interface a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Staking Interface solely to view information about their existing stake accounts and potentially other historical staking performance data made available by the interface. For users who are approved Wholesale Clients and whose wallets are whitelisted, this license is extended to allow such users to engage in Transactional Use of the Staking Interface as intended by Blockport, subject to their ongoing compliance with these Terms (including their status as an approved Wholesale Client).

5.6. Testimonials:

If you provide Testimonials (feedback, suggestions via email, Telegram, etc.), you grant Blockport a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use, reproduce, display, adapt, modify, and distribute them in any media for any purpose, including marketing. We may attribute them to you. If you prefer anonymity or specific attribution, inform us when providing the Testimonial; we will make reasonable efforts to comply.

6. Limitation of Liability and Indemnification

6.1. Exclusion of Liability:

To the maximum extent permitted by law (including the Australian Consumer Law, Section 7, where applicable), Blockport (and its directors, employees, agents, affiliates) is not liable for any direct, indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, use, goodwill, or other intangible losses, from: your access/use/inability to use the Website or Services; third-party conduct/content; content obtained from Services; unauthorized access/use/alteration of your data (including Wallet compromise not directly due to Blockport's system breach); content errors; personal injury/property damage from Service use; service interruptions; bugs/viruses from third parties; content errors/omissions; or defamatory/offensive/illegal third-party conduct. This applies regardless of legal theory (contract, tort, strict liability, statute), even if Blockport was advised of potential damage.

6.2. Indemnification:

You agree to defend, indemnify, and hold harmless Blockport (and its officers, directors, employees, agents, affiliates) from all claims, damages, obligations, losses, liabilities, costs, debt, and expenses (including legal fees) arising from: your use/access of Website/Services; your violation of these Terms (including any misrepresentation of your Wholesale Client status if you apply for Transactional Use); your violation of third-party rights (copyright, property, privacy); claims your Service use harmed a third party; or your breach of representations/warranties. This survives these Terms and your Service use.

7. Australian Consumer Law

7.1.

The Australian Consumer Law ("ACL") in Schedule 2 of the Competition and Consumer Act 2010 (Cth) provides consumers with certain guarantees. Nothing in these Terms purports to modify or exclude the conditions, warranties, undertakings, and any other legal rights arising under the ACL or any other laws where to do so would be unlawful. To the extent permitted by law, any and all other warranties or conditions which are not guaranteed by the ACL (or the Competition and Consumer Regulations 2010 (Cth)) are expressly excluded, including but not limited to liability for loss of expectations, loss of profits, incidental or consequential loss or damage caused by breach of any express or implied warranty or condition not guaranteed by the ACL.

7.2.

If you are an ACL "consumer" (notwithstanding that Transactional Use of the Staking Interface is intended for Wholesale Clients, other aspects of the Website or the informational use of the Staking Interface may be accessed more broadly, or certain Wholesale Clients may still have some consumer rights), our Services have guarantees. For major service failures, you are entitled: to cancel your service contract; and to a refund for unused portions or compensation for reduced value. You are also entitled to compensation for other reasonably foreseeable loss/damage. For non-major failures, you are entitled to have service problems rectified in a reasonable time; if not, to cancel and get a refund for the unused portion.

7.3.

If Blockport is liable for breaching a non-excludable consumer guarantee, and it's fair and reasonable, Blockport's liability is limited (at its option) to:

  • a. Services: supplying them again or paying for re-supply.
  • b. Goods (if any): replacement, equivalent supply, repair, paying for replacement/equivalent, or paying for repair.

8. Modification of Terms

8.1.

Blockport may modify these Terms. For material changes, we will aim to provide at least [e.g., 14 or 30] days' notice (e.g., via Website posting or direct communication to approved Staking Interface users with Transactional Use rights) before new terms take effect. Materiality is at our sole discretion.

8.2.

By continuing to use the Website or Services after revisions become effective, you agree to the revised terms. If you disagree, stop using the Website and Services. Review these Terms periodically.

9. Termination

9.1. By You:

You may terminate by ceasing all Website and Service use and notifying Blockport if you have been approved for Transactional Use of the Staking Interface.

9.2. By Blockport:

Blockport may suspend or terminate your access/use (including your whitelisted status for Transactional Use of the Staking Interface) immediately, without notice or liability, for any reason, including your breach of these Terms or if you no longer qualify as a Wholesale Client (for Transactional Use). Your right to use the Website/Services ceases immediately upon termination.

9.3. Survival:

Provisions that by nature should survive termination (ownership, disclaimers, indemnity, liability limits) will survive.

10. Governing Law and Dispute Resolution

10.1. Governing Law:

These Terms are governed by the laws of New South Wales, Australia.

10.2. Dispute Resolution:

  • a. Negotiation: Parties will first attempt to settle disputes through good faith negotiation.
  • b. Jurisdiction: If negotiation fails within [e.g., 30 or 60] days, disputes will be settled by New South Wales courts. You submit to their exclusive jurisdiction.

11. General Provisions

11.1. Severability:

If any provision is invalid, illegal, or unenforceable, it will be modified to be valid/legal/enforceable or deemed deleted. The rest of the Terms remain effective.

11.2. Entire Agreement:

These Terms and our Privacy Policy, are the entire agreement between you and Blockport for Website/Service use, superseding prior understandings.

11.3. No Waiver:

Blockport's failure to assert a right or provision under these Terms is not a waiver of that right or provision.

11.4. Assignment:

You cannot assign/transfer your rights/obligations under these Terms without Blockport's prior written consent. Blockport may assign/transfer its rights/obligations without restriction.

11.5. Force Majeure:

Blockport is not liable for failures due to causes beyond its reasonable control.
